Business Advisory

Financial advisory, corporate recovery, risk management and public-sector services to help organisations negotiate risk and improve performance.

We help businesses and organisations of all kinds negotiate risk, improve their performance and realise their potential, across four areas: financial advisory, corporate recovery, risk management, and government and not-for-profit.

Financial advisory

Whether you are looking to make an acquisition, form a strategic alliance, raise or invest capital, or release funds through a sale or restructuring, we help minimise the risks and maximise the returns. We work closely with your management team to understand the current financial situation and design the strategic changes needed for the future.

Valuations

A good business valuation combines quantitative analysis with qualitative analysis of the business, its industry and the economic conditions it operates in. Companies seek valuation advice for strategic decisions, M&A negotiations, corporate governance or regulatory reasons.

  • Equity valuation using discounted cash flow analysis
  • Equity valuation using the comparable approach
  • Market research analysis
  • Support in business valuation disputes
  • Goodwill and impairment testing for accounts preparation
  • Tangible asset valuation

Transaction advisory

Buyers, lenders and sellers must identify the risks and opportunities of the business under consideration. Efficient financial due diligence helps every party take the right decision, and value creation is more likely when the purchaser understands the target well.

  • Competitor due diligence: the competitive context of the acquisition, and how competitors may respond
  • Target industry due diligence: where the industry is heading
  • Operational due diligence: the effort needed to integrate the company, and its capacity to function stand-alone
  • Financial due diligence: on- and off-balance-sheet assets and liabilities, critical business drivers and risks, trend analysis and quality of earnings

Restructuring: working capital management

Working directly with management, we help companies stabilise financial performance through extensive analysis of trade relationships and the operating cycle, and a plan that can be executed.

  • Cash flow forecasts
  • Estimates of working capital needs and ways to meet them
  • Feasibility studies
  • Exit strategies

Corporate recovery

When a company finds itself in difficulty, it faces a complex set of issues that require technical expertise. We can act for the creditors or for the company, running the procedures needed until the company is deleted from the Trade Register or the creditors reach an agreement with it. When shareholders decide to liquidate voluntarily, we can run the procedure from beginning to end: calling shareholders and creditors, realising the company’s assets and settling its obligations, including all communication with the authorities.
